Terms of Service

The terms that govern your use of iStudyCloud during closed alpha and afterward.

Effective Date: May 26, 2026

1. Acceptance and eligibility

These Terms of Service ("Terms") form a binding agreement between you and ISTUDYCLOUD INC. (a British Columbia, Canada corporation, registration number BC1383084, "Company", "we", "us"). By creating an account or using the iStudyCloud website, desktop applications, or related services (the "Services") you agree to these Terms.

You must be at least 13 years old to use the Services and at least the age of majority in your jurisdiction to enter into a paid subscription on your own behalf. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization.

2. Closed alpha and beta nature

iStudyCloud is currently operating as a closed alpha. Access is by invitation only and the Services may be unavailable, incomplete, or significantly changed at any time without notice. Until we announce general availability, the Services are provided on an "as is, beta" basis and are not intended for production-critical use.

3. Accounts and security

You are responsible for the accuracy of the information you provide when creating an account and for keeping your sign-in credentials secure. You must notify us promptly at admin@istudycloud.com if you become aware of unauthorized access to your account.

You may not share, transfer, or sell your account, and you may not create accounts using automated means or false information.

4. Acceptable use

When using the Services you agree not to:

(a) violate any applicable law or third-party right;

(b) upload or transmit malware, viruses, or other harmful code;

(c) attempt to reverse engineer, decompile, or interfere with the Services except to the extent permitted by mandatory law;

(d) use the Services to generate or distribute content that is illegal, defamatory, harassing, or that infringes intellectual property or privacy rights;

(e) circumvent access controls, including the alpha invitation gate, or attempt to access another user's content without authorization;

(f) place excessive automated load on the Services or scrape content in bulk.

5. Subscriptions, billing, and refunds

Paid plans are billed in advance on a recurring basis through Stripe. Pricing, currency, and renewal cadence are presented at the point of purchase and may be revised with at least 30 days' notice for upcoming renewal periods.

You may cancel a paid plan at any time from the Plan & Billing surface. Cancellation prevents future renewals; entitlements for the already-paid term remain available until the term ends.

Refunds: if you cancel within 7 days of an initial subscription purchase and have not made material use of the paid entitlements, you may request a full refund by emailing admin@istudycloud.com. Outside that window refunds are at our discretion and consistent with applicable consumer law in your jurisdiction. Statutory cancellation rights under Canadian provincial consumer-protection law, EU/UK distance-selling rules, or your local equivalent remain unaffected.

6. Marketplace sellers

If you activate as a seller on the iStudyCloud marketplace, you are also bound by Stripe's Connected Account Agreement and Stripe Services Agreement. Payouts are processed through Stripe Connect Express; you are responsible for the accuracy of the identity, banking, and tax information you provide to Stripe.

We charge a platform fee on each successful marketplace transaction; the fee is shown at the point of sale and on your receipts. You are responsible for all taxes related to your seller activity. You agree to honor refund and cancellation requests in line with the policy you publish and with applicable consumer-protection law.

7. Your content and license to us

You retain ownership of the content you create or upload to the Services ("Your Content"). You grant us a worldwide, non-exclusive, royalty-free license to host, copy, transmit, display, and modify Your Content solely as necessary to operate the Services for you and the people you collaborate with.

We do not use Your Content or your AI prompts to train our own AI models.

8. AI features and output

iStudyCloud integrates AI models offered by third-party providers (such as Anthropic, plus any provider you explicitly select). When you use AI features your prompt and the relevant context you choose to share are transmitted to the selected provider for inference.

AI output is generated automatically and may be inaccurate, incomplete, or unsuitable for your purpose. You are responsible for reviewing AI output before relying on it. We do not warrant the accuracy of AI output and disclaim liability for actions taken based on it to the maximum extent permitted by law.

9. Intellectual property

The Services, including the iStudyCloud name and logo, software, documentation, and the layout and design of the website and applications, are owned by the Company or its licensors and are protected by copyright, trademark, and other intellectual property laws. Except for the rights expressly granted in these Terms, no other rights are transferred to you.

Open-source software included in the Services is provided under the terms of its respective license.

10. Disclaimers and limitation of liability

To the maximum extent permitted by applicable law, the Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

To the maximum extent permitted by applicable law, our aggregate liability arising out of or relating to your use of the Services in any 12-month period will not exceed the greater of (a) the amount you paid us for the Services during that period, or (b) one hundred Canadian dollars (CAD $100). We are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or lost data.

Nothing in these Terms limits liability that cannot be limited under applicable mandatory law, including liability for fraud, willful misconduct, or injury to life or person.

11. Termination

You may close your account at any time by emailing admin@istudycloud.com. We may suspend or terminate your access to the Services without notice if we reasonably believe you have violated these Terms, if required by law, or if continued provision of the Services would create a security or legal risk.

After termination, sections that by their nature should survive — including intellectual property, disclaimers, limitation of liability, and governing law — will survive.

12. Changes, governing law, and disputes

We may revise these Terms as the Services evolve. Material changes will be communicated by email or by in-product notice at least 30 days before the effective date. Continued use after the effective date constitutes acceptance of the revised Terms.

These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. The parties agree to the exclusive jurisdiction of the courts located in Vancouver, British Columbia for any dispute, except where local consumer-protection law grants you a non-waivable right to bring proceedings in your home jurisdiction.
